Open Sphere C Corp ("we," "us," or "our") provides this website, www.legalbridge.ai, and associated services (collectively, the "Service") subject to the following Terms and Conditions ("T&C"). By using the Service, you ("you," "User," or "Customer") agree to be bound by these T&C.

1. Acceptance of Terms

1.1. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these T&C.

1.2. If you do not agree to these T&C, you must immediately stop using the Service.

1.3. These T&C constitute a binding agreement between you and Open Sphere C Corp.

2. Use of the Service

2.1. Eligibility and Authorized Users:

  • The Service is intended for professional use by law firms, legal professionals, and their authorized clients.

  • Primary account holders (law firms and legal professionals) must be aged 18 and above.

  • Clients of law firms may access the Service if they are 18 or above, OR if they are minors (under 18) accessing the Service specifically for their own immigration case documentation needs under the supervision and authorization of their attorney or legal guardian.

  • By creating an account or authorizing access for a minor, you represent and warrant that:

    • If you are 18 or above, you meet the age requirement

    • If you are authorizing a minor's access, you have the legal authority to do so and the minor is accessing the Service solely for their legitimate immigration case needs

    • If you are a minor, you have been authorized by your attorney or legal guardian to access the Service for your immigration case

2.2. Parental/Guardian Consent for Minors:

  • If a minor accesses the Service for their immigration case, the authorizing attorney or legal guardian is responsible for supervising the minor's use of the Service and ensuring compliance with these T&C.

  • The authorizing party remains responsible for all activities conducted under any account they authorize, including accounts used by minors.

2.3. You agree to use the Service for lawful purposes only and in compliance with all applicable laws and regulations, including but not limited to data protection laws, immigration laws, child privacy protection laws (such as COPPA), and attorney-client privilege requirements.

2.4. You agree not to:

  • Use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

  • Upload, post, or transmit any unlawful, threatening, libelous, defamatory, obscene, or pornographic material.

  • Upload, post, or transmit any material that infringes on the intellectual property rights of others.

  • Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.

  • Use the Service to violate any professional ethical obligations or attorney-client confidentiality requirements.

  • Allow unauthorized access to the Service by minors without proper legal authorization.

3. Data Ownership, Security, and Privacy

3.1. Customer Data Ownership

All data, documents, case information, and content uploaded or created by you or your clients through the Service ("Customer Data") remains your exclusive property. We claim no ownership rights over Customer Data.

3.2. Data Storage and Security

  • Customer Data is stored on secure, encrypted cloud infrastructure using industry-standard security protocols.

  • We implement administrative, physical, and technical safeguards designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction.

  • Data is encrypted both in transit (using TLS 1.2 or higher) and at rest (using AES-256 or equivalent encryption).

  • We conduct regular security audits and maintain security practices consistent with industry standards for legal technology providers.

3.3. Third-Party AI Services and Model Usage

AI Technology Providers:

  • The Service utilizes artificial intelligence technology from third-party providers, specifically Anthropic's Claude AI models and OpenAI's ChatGPT models, to power various features including document analysis, categorization, chat functionality, and drafting assistance.

  • When you use AI-powered features, your queries and relevant Customer Data are transmitted to these third-party AI providers to generate responses and provide the requested functionality.

Data Processing by AI Providers:

  • Anthropic (Claude): We use Anthropic's commercial API services. Under our agreement with Anthropic:

    • Your Customer Data submitted through the Service is NOT used to train or improve Anthropic's AI models

    • Customer Data is processed to provide real-time responses and is not retained by Anthropic beyond the necessary processing time

    • Anthropic's data processing practices comply with their commercial terms and enterprise privacy standards

  • OpenAI (ChatGPT): We use OpenAI's API services. Under our agreement with OpenAI:

    • Your Customer Data submitted through the Service is NOT used to train or improve OpenAI's AI models when accessed via API

    • Customer Data is processed to provide real-time responses and is subject to OpenAI's API data usage policies

    • OpenAI's data processing practices comply with their commercial API terms

Our Commitments:

  • We do not and will not train our own proprietary AI models on your Customer Data. Your case files, documents, client information, and any data you upload to the Service remain confidential.

  • We only transmit the minimum necessary Customer Data to AI providers required to deliver the specific feature you are using (e.g., only the relevant document when you use "chat with document").

  • We maintain agreements with all AI providers that prohibit them from using Customer Data transmitted via API for model training purposes.

  • We may use aggregated, anonymized, and de-identified usage statistics (that cannot be traced back to any specific customer, case, or individual) to improve Service performance and functionality.

Your Control:

  • You control what data is processed by AI features through your use of specific Service features.

  • If you have concerns about specific documents or information being processed by third-party AI, you may choose not to use AI-powered features for that content.

  • You may contact us to discuss alternative processing arrangements if required by your specific compliance or confidentiality needs.

Updates to AI Providers:

  • We may add, remove, or change AI technology providers to improve Service functionality. We will update these T&C and notify customers of material changes to AI provider relationships that may impact data processing practices.

3.4. Data Processing and Other Third-Party Services

  • Beyond the AI providers described above, we may use additional third-party service providers (such as cloud hosting providers, email services, and payment processors) to deliver the Service.

  • All third-party providers are contractually bound to protect Customer Data and use it only for providing services to us.

  • We maintain data processing agreements with all third-party providers that handle Customer Data, ensuring they comply with applicable data protection requirements.

3.5. Data Retention and Deletion

  • Customer Data is retained for the duration of your active subscription and for a reasonable period thereafter as required for backup, legal, or legitimate business purposes.

  • Upon termination of your account, you may request deletion of your Customer Data. We will delete such data within 90 days of termination, except where retention is required by law.

  • You may request deletion of specific Customer Data at any time through the Service interface or by contacting us.

  • We will use commercially reasonable efforts to request deletion of Customer Data from third-party AI providers upon your request, subject to those providers' data retention policies.

3.6. Special Protections for Minor's Data

  • We recognize that some users may be minors using the Service for their immigration cases.

  • Customer Data belonging to minors receives the same security protections as all other Customer Data.

  • Attorneys and legal guardians authorizing minor access are responsible for ensuring compliance with applicable child privacy laws (such as COPPA) and for determining what information minors should upload or share through the Service.

  • Parents, legal guardians, and attorneys may contact us to request access to, correction of, or deletion of a minor's Customer Data.

3.7. Data Breach Notification

In the event of a data breach affecting Customer Data, we will notify you without undue delay and provide information about the nature of the breach, potential consequences, and measures taken to address the breach.

3.8. Data Location

Customer Data is stored in data centers located in the United States. Third-party AI providers may process data in their respective data centers, which may include locations outside the United States, subject to their respective privacy policies and data protection standards.

3.9. Your Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including activities by any authorized minors.

  • You are responsible for ensuring that you have the necessary rights, consents, and legal authority to upload Customer Data to the Service, including parental or guardian consent for minors' data where required.

  • You are responsible for determining whether the use of AI-powered features is appropriate for specific Customer Data given your professional obligations and client confidentiality requirements.

  • You are responsible for maintaining appropriate backup copies of Customer Data.

  • For any minors accessing the Service, you are responsible for supervising their use and ensuring age-appropriate access.

4. Intellectual Property Rights

4.1. Service IP: All content, software, algorithms (excluding trained models derived from Customer Data), design, interface elements, and technology underlying the Service are the exclusive property of Open Sphere C Corp or its licensors and are protected by intellectual property laws.

4.2. Customer Data: You retain all intellectual property rights in Customer Data. By uploading Customer Data, you grant us a limited, non-exclusive license to process and store such data solely for the purpose of providing the Service to you.

4.3. Restrictions: You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Service except as explicitly permitted by these T&C or authorized by us in writing.

4.4. Feedback: If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without any obligation to you.

5. Subscription and Payment Terms

5.1. Access to the Service requires a paid subscription unless otherwise agreed in writing.

5.2. Subscription fees are due in advance and are non-refundable except as required by law or as explicitly stated in your subscription agreement.

5.3. We reserve the right to modify subscription pricing upon 30 days' notice. Price changes will not affect your current subscription term but will apply upon renewal.

5.4. Failure to pay subscription fees may result in suspension or termination of your access to the Service.

6. Confidentiality

6.1. We acknowledge that Customer Data may contain confidential and privileged information protected by attorney-client privilege and work product doctrine.

6.2. We agree to maintain the confidentiality of Customer Data and not to disclose it to any third party except as necessary to provide the Service, as required by law, or with your prior written consent.

6.3. Our employees and contractors with access to Customer Data are bound by confidentiality obligations.

7. Disclaimer of Warranties

7.1. The Service is provided on an "as-is" and "as-available" basis without warranties of any kind.

7.2. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

7.3. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that defects will be corrected.

7.4. AI-Generated Content Disclaimer:

  • The Service uses artificial intelligence technology to assist with document analysis, drafting, and other features. AI-generated content may contain errors, inaccuracies, or incomplete information.

  • AI outputs should be reviewed, verified, and edited by qualified legal professionals before use in any immigration application or legal proceeding.

  • We do not warrant the accuracy, completeness, or reliability of AI-generated content.

  • You are solely responsible for reviewing and approving all content generated by or processed through the Service before submission or use.

7.5. Legal Advice Disclaimer: The Service is a technology tool and does not provide legal advice. You are responsible for all legal decisions and the accuracy of documents prepared using the Service. We are not a law firm and do not provide legal services.

7.6. Third-Party Services: We are not responsible for the performance, accuracy, or availability of third-party AI services or other third-party technologies integrated into the Service.

8. Limitation of Liability

8.1. To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising out of or related to your use of or inability to use the Service.

8.2. Our total liability for any claims arising out of or related to these T&C or the Service shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

8.3. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

9. Indemnification

9.1. You agree to indemnify, defend, and hold harmless Open Sphere C Corp, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service

  • Your violation of these T&C

  • Your violation of any rights of another party

  • Customer Data you upload or process through the Service

  • Your violation of any applicable laws or regulations

10. Compliance with Laws

10.1. You agree to comply with all applicable laws and regulations in your use of the Service, including but not limited to:

  • Immigration laws and regulations

  • Data protection and privacy laws (including GDPR, CCPA, and other applicable privacy laws)

  • Professional responsibility and ethical rules governing legal practice

  • Export control laws

10.2. We comply with applicable data protection laws in our processing of Customer Data.

11. Termination

11.1. By You: You may terminate your account at any time by providing written notice to us and ceasing use of the Service.

11.2. By Us: We reserve the right to terminate or suspend your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these T&C

  • Non-payment of subscription fees

  • Illegal or fraudulent use of the Service

  • Harm to the Service or other users

11.3. Effect of Termination: Upon termination:

  • Your right to access and use the Service will immediately cease

  • You will remain responsible for all fees incurred prior to termination

  • Provisions of these T&C that by their nature should survive termination will survive, including but not limited to Sections 3, 4, 6, 7, 8, 9, and 11

12. Governing Law and Dispute Resolution

12.1. These T&C shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.

12.2. Any disputes arising out of or related to these T&C or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.

12.3. Arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

12.4. Each party shall bear its own costs and expenses in any arbitration, except that the prevailing party may be awarded reasonable attorneys' fees at the arbitrator's discretion.

13. Service Level and Availability

13.1. We strive to maintain high availability of the Service but do not guarantee uninterrupted access.

13.2. We may perform scheduled maintenance that temporarily interrupts Service availability. We will provide advance notice of scheduled maintenance when reasonably possible.

13.3. We are not liable for Service interruptions caused by factors beyond our reasonable control, including but not limited to internet service provider failures, natural disasters, or third-party service disruptions.

14. Changes to Terms and Conditions

14.1. We reserve the right to modify or update these T&C at any time. 

14.2. Your continued use of the Service following the effective date of changes to these T&C shall be deemed your acceptance of such changes.

14.3. If you do not agree to modified T&C, you must stop using the Service and may terminate your account.

15. Entire Agreement and Severability

15.1. These T&C, together with any subscription agreement and other policies referenced herein, constitute the entire agreement between you and Open Sphere C Corp regarding the Service.

15.2. If any provision of these T&C is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Assignment

16.1. You may not assign or transfer these T&C or your rights under these T&C without our prior written consent.

16.2. We may assign these T&C or delegate our obligations without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

17. Waiver

17.1. No waiver of any term or condition of these T&C shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

17.2. Our failure to assert any right or provision under these T&C shall not constitute a waiver of such right or provision.

18. AI Technology Transparency and Best Practices

18.1. Understanding AI Limitations:

  • The AI features in our Service are designed to assist legal professionals, not replace them.

  • AI technology may produce outputs that require verification, fact-checking, and professional judgment.

  • AI models may occasionally generate content that is incorrect, inconsistent, or inappropriate for your specific use case.

18.2. Recommended Practices:

  • Always review AI-generated content before using it in legal documents or client communications.

  • Verify factual claims, legal citations, and case-specific information produced by AI features.

  • Use professional judgment to determine when AI assistance is appropriate for sensitive or complex matters.

  • Maintain compliance with your professional ethical obligations when using AI tools in legal practice.

18.3. Transparency Commitment:

  • We are committed to transparency about our use of AI technology.

  • We will inform you of significant changes to AI providers or AI capabilities that may affect your use of the Service.
